1. Acceptance of Terms
By accessing or using copersil.ca ("the Site") or engaging Copersil Technologies ("we," "our") for services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our Site or services.
2. Services
Copersil Technologies provides managed IT services including but not limited to IT support, Microsoft 365 administration, cybersecurity, cloud infrastructure, and related consulting. The specific scope, deliverables, pricing, and terms of any service engagement are set out in a separate written agreement between you (or your organisation) and Copersil Technologies. These Terms govern your use of the Site; the service agreement governs your engagement with us.
3. Use of the Site
You may use the Site for lawful purposes only. You agree not to:
- Use the Site in any way that violates applicable law or regulation
- Attempt to gain unauthorised access to any portion of the Site or any other systems or networks
- Use any automated means to access or scrape the Site
- Interfere with or disrupt the integrity or performance of the Site
- Submit false or misleading information through contact forms
4. Intellectual Property
The content on this Site — including text, graphics, logos, and design elements — is the property of Copersil Technologies or its licensors and is protected by Canadian and international intellectual property law. You may not reproduce, distribute, or create derivative works from any content without our express written permission, except as permitted by applicable fair dealing provisions.
5. Client Data and Confidentiality
When providing services to clients, Copersil Technologies handles data under the client's direction. We treat all client data as confidential and implement security measures consistent with industry best practices. Client data is not used for any purpose other than delivering the contracted services, and we do not claim ownership of client data.
6. Limitation of Liability
To the fullest extent permitted by applicable law:
- Copersil Technologies provides services and content on an "as is" basis without warranties of any kind, express or implied.
- We do not guarantee that our services will be uninterrupted or error-free, or that the Site will be free of malware or viruses.
- Our total liability for any claim arising from these Terms or our services shall not exceed the amount you have paid us in the twelve (12) months preceding the event giving rise to the claim.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.
7. Service Availability and Uptime
We strive to maintain reliable service but do not guarantee specific uptime levels unless a formal Service Level Agreement (SLA) has been executed. Downtime may occur due to factors beyond our control, including but not limited to power outages, internet service provider failures, hardware failures, and force majeure events.
8. Termination
Either party may terminate a service engagement upon reasonable written notice, subject to the terms of any applicable service agreement. Upon termination, we will make reasonable efforts to facilitate an orderly transition of services and the return of client data.
9. Governing Law
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada. Any disputes arising from these Terms shall be resolved in the courts of Ontario, unless a separate service agreement specifies a different jurisdiction.
10. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Your continued use of the Site or our services after changes constitutes acceptance of the updated Terms.
